1. Agreement to Terms

By accessing or using Canary ("Service"), operated by Canary AI, Inc. ("Company", "we", "us"), you agree to be bound by these Terms of Service. If you do not agree, you may not use the Service. These terms apply to all visitors, users, and paying subscribers.

2. Description of Service

Canary is a competitive intelligence platform that monitors publicly available information about your competitors, including website changes, job postings, press mentions, pricing updates, and site traffic estimates. The Service uses automated scanning and artificial intelligence to aggregate, analyze, and deliver this information to you through dashboards, alerts, and daily briefings.

3. Account Registration

To use certain features, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account credentials secure. You are responsible for all activity that occurs under your account. You must notify us immediately of any unauthorized use.

4. Free Trial and Subscriptions

We offer a 7-day free trial on all paid plans. No credit card is required to start a trial. After the trial period, you must subscribe to a paid plan to continue accessing premium features. Subscription fees are billed in advance on a monthly or annual basis depending on the plan you select. All fees are non-refundable except as required by applicable law.

5. Acceptable Use

You agree not to:

  • Use the Service to engage in any unlawful activity or violate any applicable laws
  • Attempt to access non-public data, systems, or networks of any third party
  • Resell, redistribute, or sublicense the Service or its data without our written consent
  • Use the Service to harass, stalk, or harm any individual or organization
  • Interfere with or disrupt the integrity or performance of the Service
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use automated tools to scrape or extract data from the Service beyond normal usage

6. Data and Publicly Available Information

Canary monitors and analyzes publicly available information from the open web. We do not access password-protected content, private databases, or confidential materials. The insights and data provided through the Service are derived from publicly accessible sources and are intended for informational purposes only. We make no guarantees about the completeness or accuracy of third-party data.

7. Intellectual Property

The Service, including its design, features, algorithms, and content (excluding user-provided data), is owned by Canary AI, Inc. and protected by intellectual property laws. You retain ownership of any data you provide to us (such as competitor lists and website URLs). By using the Service, you grant us a limited license to process your inputs to deliver the Service.

8. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the Service will be uninterrupted, error-free, or that the competitive intelligence provided will be complete or accurate. You acknowledge that business decisions made based on the Service are at your own risk.

9. Limitation of Liability

To the maximum extent permitted by law, Canary AI, Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising out of or related to your use of the Service. Our total liability shall not exceed the amount you paid us in the twelve months preceding the claim.

10. Cancellation and Termination

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. We may suspend or terminate your account if you violate these Terms or if we discontinue the Service with reasonable notice.

11. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on the Service and updating the "Last updated" date. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in New York County, New York.
